CORPORATIONS ACT 2001 - SECT 491
Circumstances in which company may be wound up voluntarily(1) Subject to section 490, a company may be wound up voluntarily if the company so resolves by special resolution.
(2) A company must:
(a) within 7 days after the passing of a resolution for voluntary winding up, lodge with ASIC, in the prescribed form, a notice setting out the text of the resolution; and
(b) within the period ascertained in accordance with the
regulations, cause a notice setting out the prescribed information about the
resolution to be published in the prescribed manner.
