Western Australian Consolidated Acts (1) Where an offence
under this Act is found to have been committed by a body corporate and is
proved —
(a) to
have been committed with the consent or connivance of; or
(b) to
be attributable to any failure to take all reasonable steps to secure
compliance by the body corporate with this Act on the part of,
any director, manager,
executive officer, secretary or other person concerned in the management of
the body corporate, or any person purporting to act in any such capacity, that
person as well as the body corporate shall be guilty of that offence and is
liable to be proceeded against and punished accordingly.
(2) Where the affairs
of a body corporate are managed by its members, subsection (1) applies in
relation to the acts and defaults of a member in connection with his functions
of management as if he were a director of the body corporate.
