Application for registration as a company

64. Application for registration as a company



(1) Immediately after issue of the shares in accordance with section 63, a
converting body must lodge an application with ASIC under section 117 of the
Corporations Act to be registered as a company limited by shares that is taken
to be registered in Victoria.

(2) The constitution of the converting body for the purposes of Part 2B.4 of
the Corporations Act is its memorandum and articles in accordance with this
Act which-

   (a)  must include provisions to the effect of the provisions specified in
        Schedule 1; and

   (b)  must otherwise be as approved by the Treasurer.
