32. Offences by persons involved in management of bodies corporate



(1) If a body corporate is guilty of an offence against this Act, any person
who is concerned in, or takes part in, the management of the body corporate is
also guilty of that offence and liable to the penalty for it.

(2) A person may be proceeded against for, and found guilty of, an offence in
accordance with subsection (1) whether or not the body corporate has been
proceeded against for, or found guilty of, that offence.

(3) It is a defence to a charge brought in accordance with subsection (1) for
the defendant to prove that the offence was committed by the body corporate
without his or her consent or knowledge and that he or she exercised due
diligence to prevent the commission of the offence.
