Procedure at Board meetings
12. Procedure at Board meetings
(1) The Board shall meet at such times and places as are fixed by the
President and shall hold at least 6 meetings in each year.
(2) The President or, in his or her absence, a member elected by the members
present, must preside at a meeting of the Board.
(3) A majority of the members of the Board for the time being shall constitute
a quorum.
(4) Subject to the presence of a quorum, the Board may act notwithstanding a
vacancy in its membership.
(5) A question arising at a meeting of the Board shall be determined by a
majority of the votes of the members of the Board present and voting and in
the event of an equality of votes the person presiding shall have an
additional or casting vote.
(6) An act or decision of the Board shall not be invalid by reason only of a
defect or irregularity in or in connexion with the appointment of a member.
(7) Subject to this Act, the Board may regulate its own proceedings.
