Proceedings of board

12H. Proceedings of board



(1) Subject to subsection (2), meetings of the board of VLA shall be held at
such times and places as the board determines.

(2) The chairperson may at any time convene a meeting but must do so when
requested by a director.

(3) Three directors constitute a quorum of the board.

(4) A question arising at a meeting shall be determined by a majority of votes
of directors present and voting on that question and, if voting is equal, the
person presiding has a casting, as well as a deliberative, vote.

(5) The board must ensure that minutes are kept of each of its meetings.

(6) Subject to this Part, the board may regulate its own proceedings.
