Substitution of party to agreement

33. Substitution of party to agreement

Where, in accordance with the Direction, rights and liabilities of GEB under
an agreement vest in, or become liabilities of the Subsidiary-

   (a)  the Subsidiary becomes, when the rights so vest or the liabilities
        become liabilities of the Subsidiary, a party to the agreement in
        place of GEB; and

   (b)  on and after that time, the agreement has effect as if the Subsidiary
        had always been a party to the agreement.
