(a) under a proposed regulation (the "relevant proposed 18
regulation"), the declared area for a year will be the same as the 19
declared area for the previous year; and 20

(b) the Statutory Instruments Act 1992, part 5, division 21 has been 1
complied with for a proposed regulation declaring the same area 2
to be the declared area for-- 3
(i) the previous year; or 4
(ii) another year, if since that year the declared area for each 5
intervening year has been the same. 6
`(2) Despite the Statutory Instruments Act 1992, section 43, a regulatory 7
impact statement need not be prepared about the relevant proposed 8
regulation. 9
`(3) In this section-- 10
"same" includes substantially the same.'. 11

`Disclosure
`29.(1) This section applies to a member of the corporation (the 13
"interested member") if-- 14
(a) the interested member has a direct or indirect financial interest in 15
an issue being considered, or about to be considered, by the 16
corporation; and 17
(b) the interest could conflict with the proper performance of the 18
member's duties about the consideration of the issue. 19
`(2) As soon as practicable after the relevant facts come to the interested 20
member's knowledge, the member must disclose the nature of the interest 21
to a corporation meeting. 22
`(3) Unless the corporation otherwise directs, the interested member 23
must not-- 24
(a) be present when the corporation considers the issue; or 25
(b) take part in a decision of the corporation about the issue. 26
`(4) The interested member must not be present when the corporation is 27
considering whether to give a direction under subsection (3). 28
`(5) If there is another member of the corporation who must, under 29

subsection (2), also disclose an interest in the issue, the other member must 1
not-- 2
(a) be present when the corporation is considering whether to give a 3
direction under subsection (3) about the interested member; or 4
(b) take part in making the decision about giving the direction. 5
`(6) If-- 6
(a) because of this section, a member of the corporation is not present 7
at a corporation meeting for considering or deciding an issue, or 8
for considering or deciding whether to give a direction under 9
subsection (3); and 10
(b) there would be a quorum if the member were present, 11
the remaining members of the corporation present are a quorum of the 12
corporation for considering or deciding the issue, or for considering or 13
deciding whether to give the direction, at the meeting. 14
`(7) A disclosure under subsection (2) must be recorded in the minute 15
