The Parliament of Queensland enacts-- 1
PART 1--PRELIMINARY 2
1 Short title
Clause 3
This Act may be cited as the Revenue Legislation Amendment Act 2002. 4
2 Commencement
Clause 5
(1) The following provisions are taken to have commenced on 1 March 6
2002-- 7
(a) sections 3, 13, 14, 24(1) and (2), 27, 33, 39 and 40; 8
(b) amendments 8, 9, 14, 15, 16 and 20 of the schedule. 9
(2) Section 29 commences on a day to be fixed by proclamation. 10

(1) This part amends the Duties Act 2001. 13
(2) The schedule also includes amendments of the Duties Act 2001. 14

`An interest of a person in a registered managed investment scheme is 2
declared to be an excluded matter for the Corporations Act, section 5F,1 in 3
relation to section 1070A(1)(a), (3) and (4)2 of that Act.'. 4

`(4) Without limiting subsection (1)(e), property is vested under statute 8
law if the law vests property in an entity that the law states is the successor 9
in law of, continuation of or same entity as, the entity in which the property 10
was previously vested. 11
`(5) However, property is not vested under statute law, on the registration 12
of a company under the Corporations Act, chapter 5B, part 5B.1.'. 13

`(2) Subsection (3) applies if-- 18
(a) transfer duty is paid on a dutiable transaction that is an option to 19
acquire dutiable property (the "first transaction"); and 20
(b) on the exercise of the option, transfer duty is payable on the 21
dutiable transaction for the acquisition of the dutiable property 22
(the "later transaction"); and 23
(c) under the option, the consideration paid for the option is part of 24
the consideration for the later transaction. 25
`(3) In assessing the transfer duty on the later transaction, a credit must 26
be allowed for the transfer duty paid for the first transaction.'. 27

(i) by, or expressly authorised by, statute law of this or another 5
jurisdiction, whether inside or outside Australia; or 6
(ii) by a court order, of this or another jurisdiction, whether 7

`(1) This section applies if transfer duty is imposed on a dutiable 14
transaction that is-- 15
(a) a grant of land in fee simple under the Land Act 1994; or 16
(b) an acquisition of a new right that is a post-Wolfe freeholding 17
lease under the Land Act 1994. 18
`(2) Within 30 days after the liability for the duty arises, the grantee or 19
lessee must pay the duty to the chief executive of the department in which 20
the Land Act 1994 is administered.'. 21

(1) Section 46(5), `partner's partnership acquisition'-- 24

partnership immediately before its formation; or 2
(b) on the person's partnership acquisition, the person becomes a 3
partner in an additional partnership to a partnership in which the 4
person is a partner with any partners of the additional partnership 5
immediately before its formation. 6
`(5B) However, subsection (5A)(b) does not apply to a person who 7
makes a partnership acquisition in a partnership that was formed because of 8
a change in the membership of the partners of another partnership (the "old 9
partnership") if the person had a partnership interest in the old 10
partnership.'. 11
10 Amendment of s 61 (Who is a "related person")

`(3) However, a person is not a "related person" of another person 15
under subsection (1), other than subsection (1)(d), if the commissioner is 16
satisfied the trust interests of the persons in a land holding trust-- 17
(a) were acquired, and will be used, independently; and 18
(b) were not acquired, and will not be used, for a common purpose.'. 19
11 Insertion of new s 81A

`81A Particular trust interests disregarded for majority trust 23
acquisitions 24
`(1) This section applies if-- 25
(a) under section 80, a person would have made a majority trust 26
acquisition in a wholesale unit trust; and 27
(b) all the persons who held or acquired the trust interests 28
comprising the majority trust acquisition are group companies of 29
a corporate group; and 30
(c) the funds manager of the wholesale unit trust is a group company 31
of the corporate group; and 32

(d) there is no arrangement to avoid the imposition of transfer duty. 1
`(2) For section 80, the trust interest of a person mentioned in 2
subsection (1)(b) who is a qualified holder must be disregarded. 3
`(3) To remove any doubt, it is declared that section 80 applies to other 4
trust interests, including trust interests held through the qualified holder.'. 5
12 Amendment of s 93 (Concession for transfer duty--mixed and

`(6A) For working out the concessional duty under subsection (6)(a) for 10
a relevant transferee under subsection (2), the residential land mentioned in 11

`130C What is an "asset-backed security" 22
`(1) An "asset-backed security" is-- 23
(a) an entitlement or interest of a person in-- 24
(i) an entitlement of a financier for a financial asset or pool of 25
financial assets; or 26

(ii) amounts payable to a financier under a financial asset or 1
pool of financial assets whether or not on the same 2
conditions applying under the asset and whether or not the 3
person is entitled to a transfer of the asset or pool of assets; 4
or 5
(b) a debenture, promissory note, bill of exchange, stock, bond, note 6
or other security creating, evidencing or acknowledging 7
indebtedness issued or made by a corporation if the payments 8
under the security are received by the corporation-- 9
(i) substantially from the receipts, whether of capital or 10
income, from a financial asset or pool of financial assets; or 11
(ii) if another extent is prescribed under a regulation--to the 12
extent prescribed, from the receipts, whether of capital or 13
income, from a financial asset or pool of financial assets; or 14
(c) a security by which an interest in, or mortgage or charge over, an 15
entitlement, interest or security mentioned in paragraph (a) or (b) 16
is created. 17
`(2) However, the term does not include-- 18
(a) a mortgage, other than a mortgage mentioned in 19
subsection (1)(c); or 20
(b) a transfer of a mortgage or financial asset. 21
`(3) It does not matter whether an asset-backed security is effected by an 22
instrument or another way. 23
`130D Who is a "financier" 24
A "financier" is a lender or bailor who provides financial 25
accommodation under a financial asset. 26
`130E What is a "financial asset" 27
`A "financial asset" is any of the following-- 28
(a) a loan, including any security for the loan; 29
(b) a credit card account; 30
(c) a hire purchase agreement; 31
(d) a chattel lease, whether finance or operating; 32

(e) a vehicle dealer floor plan agreement; 1
(f) the rights of a financier that are-- 2
(i) usually conferred in relation to an asset mentioned in 3
paragraphs (a) to (e); and 4
(ii) incidental to the asset. 5
`130F What is a "pool of financial assets" 6
`(1) A "pool of financial assets" is a pool or collection of assets that 7
consists solely of financial assets. 8
`(2) Also, a "pool of financial assets" is a pool or collection of assets 9
that consists substantially or, if another extent is prescribed under a 10
regulation, to the extent prescribed, of financial assets or amounts paid 11
under financial assets, or a combination of them, if the other assets in the 12
pool or collection are cash or an authorised investment. 13
`130G What is an "authorised investment" 14
An "authorised investment", for a pool of financial assets, is any of the 15
following-- 16
(a) a bond, debenture, stock or Treasury bill of the Commonwealth 17
or a State; 18
(b) a debenture or stock of a public statutory body established under 19
an Act of the Commonwealth or a State; 20
(c) a note or other security of the Commonwealth or a State; 21
(d) a deposit with, or a certificate of deposit or another security 22
issued by, a financial institution; 23
(e) a bill of exchange, promissory note or other negotiable 24
instrument accepted, drawn or endorsed by a financial institution; 25
(f) an asset-backed security or mortgage-backed security. 26

`Subdivision 2--Exemptions 1
`130H Exemption--particular transactions for asset-backed securities 2
`(1) Transfer duty is not imposed on a dutiable transaction that is a 3
transfer, or agreement for the transfer, of-- 4
(a) an asset-backed security; or 5
(b) a financial asset or pool of financial assets for creating, issuing, 6
marketing or securing an asset-backed security. 7
`(2) Also, transfer duty is not imposed on a dutiable transaction that-- 8
(a) is the creation of a trust of dutiable property or a trust 9
acquisition; and 10
(b) is required for creating, issuing, marketing, acquiring or securing 11
an asset-backed security. 12
`(3) In addition, transfer duty is not imposed on a dutiable transaction 13
that is a trust surrender required to give effect to a redemption of an 14
asset-backed security. 15
`Division 3C--Exemptions for mortgage-backed securities 16
`130I Exemption--mortgage-backed securities 17
`(1) Transfer duty is not imposed on a dutiable transaction that-- 18
(a) is the creation of a trust of dutiable property or a trust 19
acquisition; and 20
(b) is required for creating, issuing, marketing, acquiring or securing 21
a mortgage-backed security. 22
`(2) Also, transfer duty is not imposed on a dutiable transaction that is a 23
trust surrender required to give effect to a redemption of a 24
mortgage-backed security.'. 25

superannuation entity 3
`(1) Transfer duty is not imposed on a transfer of dutiable property from 4
a person as vendor to another person as custodian for the approved trustee 5
of a public superannuation entity. 6
`(2) However, subsection (1) applies only if-- 7
(a) the transfer is made under a dutiable transaction that is the 8
agreement for the transfer of the property entered into between 9
the person as vendor and the approved trustee as purchaser; and 10
(b) the property is acquired by the approved trustee as fund property; 11
and 12
(c) transfer duty imposed on the transaction has been paid. 13
`130B Exemption--other transfers of fund property of public 14
superannuation entities 15
`(1) Transfer duty is not imposed on a transfer, or agreement for the 16
transfer, of fund property of a public superannuation entity from-- 17
(a) the approved trustee of the entity to a person as custodian for the 18
approved trustee; or 19
(b) a person as custodian for the approved trustee of the entity to the 20
approved trustee. 21
`(2) However, subsection (1) does not apply if the transfer or agreement 22
is part of an arrangement under which-- 23
(a) the fund property, or an interest in the fund property, ceases to be 24
fund property; or 25
(b) the persons who are members of the public superannuation entity 26
do not have the same trust interest in the fund property after the 27
property is transferred or agreement is made as they had 28
immediately before the arrangement was entered into.'. 29
