The Parliament of Queensland enacts-- 1

Clause 1. This Act may be cited as the Grain Industry (Restructuring) 3
Amendment Act 1994. 4

Commencement
Clause 2. Sections 4, 6, 7, 9, 10 and 15 commence 6 months after the day of 6
assent unless an earlier day is fixed by proclamation. 7

`Disclosure
`16A.(1) This section applies to a director of Grainco if-- 7
(a) the director has a direct or indirect financial interest in an issue 8
being considered, or about to be considered, by the Board of 9
Grainco (other than an interest the director has in common with 10
growers generally, a substantial class of growers or some other 11
substantial class); and 12
(b) the interest could conflict with the proper performance of the 13
director's duties about the consideration of the issue. 14
`(2) As soon as practicable after the relevant facts come to the director's 15
knowledge, the director must disclose the nature of the interest to a meeting 16
of the Board of Grainco. 17
`(3) The disclosure must be recorded in the board's minutes and, unless 18
the board otherwise decides, the director must not-- 19
(a) be present when the board considers the issue; or 20
(b) take part in a decision of the board about the issue. 21
`(4) The director must not be present when the board is considering its 22
decision under subsection (3). 23
`(5) Another director who also has a direct or indirect financial interest in 24
the issue must not-- 25
(a) be present when the board is considering its decision under 26
subsection (3); or 27
(b) take part in making the decision. 28

`16B.(1) Grainco's memorandum and articles must be consistent with 3
this Act. 4
`(2) If there is an inconsistency between this Act and Grainco's 5
memorandum and articles, this Act prevails and the memorandum and 6
articles are void to the extent of the inconsistency.'. 7

`19A.(1) Grainco must report on, and account for, its administration 12
under the Financial Administration and Audit Act 1977. 13
`(2) The Financial Administration and Audit Act 1977 applies to 14
Grainco, subject to any changes prescribed under the regulations, as if it 15
were a statutory body within the meaning of that Act. 16

(a) a unit of public administration under the Criminal Justice Act 19
1989; and 20
(b) a public authority under the Freedom of Information Act 1992; 21

(c) a public authority under the Libraries and Archives Act 1988; and 23
(d) an authority under the Parliamentary Commissioner Act 1974; 24
and 25
(e) a unit of the public sector under the Public Sector Management 26
Commission Act 1990. 27
`(2) Grainco is subject to the Judicial Review Act 1991. 28

`(3) The mention of particular Acts in this section does not mean Grainco 1

`Appointment
`72.(1) Grainco may appoint persons as inspectors. 20
`(2) Grainco may appoint a person (other than a police officer) as an 21
inspector only if-- 22
(a) the person has-- 23
(i) in the opinion of the chief executive of the department, the 24
necessary expertise or experience to be an inspector; or 25
(ii) satisfactorily finished training approved by the chief 26
executive of the department; and 27

(b) the chief executive of the department approves the person's 1
appointment. 2

`Limitation
`73. The powers of an inspector may be limited-- 4
(a) under a regulation; or 5
(b) under an appointment condition; or 6
(c) by written notice given by Grainco to the inspector. 7

`73A.(1) An inspector holds office on the conditions stated in the 9
instrument of appointment. 10
`(2) An inspector-- 11
(a) if the appointment provides for a term of appointment--stops 12
holding office at the end of the term; and 13
(b) may resign by signed notice of resignation given to Grainco; and 14
(c) if the conditions of appointment provide--stops holding office as 15
an inspector on stopping to hold another office stated in the 16
appointment conditions. 17
`(3) Grainco must-- 18
(a) if it appoints an inspector--give the chief executive of the 19
department a copy of the instrument of appointment; and 20
(b) if an inspector stops holding office--give the chief executive of 21
the department notice stating when, and in what circumstances, 22
the inspector stopped holding office. 23

`73B.(1) Grainco must give each inspector an identity card. 25
`(2) The identity card must-- 26
(a) be in a form approved by the chief executive of the department; 27

(b) contain a recent photograph of the inspector; and 2
(c) be signed by the inspector; and 3
(d) identify the person as an inspector for this Act. 4
`(3) A person who stops being an inspector must return the person's 5
identity card to Grainco within 21 days after the person stops being an 6
inspector, unless the person has a reasonable excuse. 7
Maximum penalty--10 penalty units. 8
`(4) This section does not prevent the giving of a single identity card to a 9
person under this section and for other provisions, Acts or purposes. 10

`73C.(1) An inspector (other than a police officer in uniform) may 12
exercise a power under this Act in relation to someone else only if the 13
inspector-- 14
(a) first produces his or her identity card for inspection by the person; 15
or 16
(b) has the identity card displayed so that it is clearly visible to the 17
person. 18
`(2) However, if for any reason it is not practicable to comply with 19
subsection (1), the inspector must produce the identity card for inspection 20
by the person at the first reasonable opportunity.'. 21
