Resolutions of the congregation
21 Resolutions of the congregation
(a) A resolution of the congregation or of the committee shall be deemed to
have been duly passed by a meeting of the congregation if it shall have been
passed by a majority of the members of the congregation or committee
respectively present at a meeting of the congregation or committee
respectively which shall have been convened in accordance with the Rules.
(b)
A resolution shall be deemed to be a special resolution if it has been passed
by three-fourths or more of the members voting at a meeting of the
congregation duly convened in accordance with the rules, and consisting of not
less than 25 members of the congregation or, where the number of members of
the congregation included in the register referred to in section 5 is less
than 50, 15 members of the congregation, and confirmed by a similar majority
present at a subsequent duly convened meeting of the congregation held not
earlier than two weeks nor later than four weeks after the meeting at which
such resolution shall have been passed.
(c) For the safety of the Trustees or
the Trustee or of a person taking title from or paying money to or otherwise
dealing with the Trustees or the Trustee the production of a copy certified
under the hand of the president or vice-president or other person appointed by
resolution of the committee for that purpose to be a copy of any resolution or
special resolution of the congregation or the committee shall be deemed to be
conclusive proof of the resolution or special resolution of which it purports
to be a copy, and that all matters by this Act or by the Rules required to be
done or observed prior to or as conditions of the passing of such resolution
or special resolution have been done or observed, and that such resolution or
special resolution has been duly passed and is in force at the date of such
certification as aforesaid.
