1990 No. 455 CORPORATIONS REGULATIONS - REG 5.6.35

Proxies appointed by a corporation 
5.6.35. A document:

   (a)  purporting to be a copy of a resolution under subsection 249 (3) of
        the Corporations Law authorising a person to act as proxy at a
        meeting; and

   (b)  that has been verified as a true copy of the resolution or that is
        under the seal of the corporation; is conclusive evidence of his or
        her authority to do so.
