629. Section 615 does not apply in relation to an acquisition of shares in a
company as a result of the acquisition of shares in another company if:

   (a)  at the time of the last-mentioned acquisition, the other company is a
        listed company; and

   (b)  the acquisition of the shares in the other company:

        (i)    results from the acceptance of an offer to acquire
those shares that was made under a takeover scheme
or takeover announcement; or

        (ii)   would, but for subsection 620 (1) or (2),
contravene section 615.
