Substantial shareholder to notify company of his interests
137. (1) A person who is a substantial shareholder in a company shall give to
the company a notice in the prescribed form that-
(a) states-
(i) his name and address;
(ii) the prescribed particulars of the voting shares in the company
in which the person or an associate of the person has a
relevant interest or relevant interests (including, unless the
interest or interests cannot be related to a particular share
or shares, the name of the person who is registered as the
holder);
(iii) the prescribed particulars of each such interest; and
(iv) the prescribed particulars of any contract, scheme or
arrangement, or any other circumstances, by reason of which the
person or the associate acquired that interest or has that
interest; and
(b) is accompanied by the prescribed documents.
(2) A person required to give a notice under sub-section (1) shall give the
notice within 2 business days after that person becomes aware of the relevant
interest or interests by virtue of which he is a substantial shareholder.
(3) The notice shall be so given notwithstanding that the person has ceased to
be a substantial shareholder before the expiration of the period referred to
in sub-section (2).
