Acting non-executive Directors
21. (1) If a non-executive Director is, or is expected to be, absent from duty
or from Australia or, for any other reason, unable to perform the functions of
his office, the Governor-General may appoint a person to act as a
non-executive Director during the period of the absence or inability.
(2) The Governor-General may-
(a) determine the terms and conditions of appointment, excluding
remuneration and allowances, of a person acting as a
non-executive Director; and
(b) terminate such an appointment at any time.
(3) A person acting as a non-executive Director shall be paid the same
remuneration and allowances as are payable to a non-executive Director.
(4) The appointment of a person to act as a non-executive Director ceases to
have effect if he resigns his appointment by writing signed by him delivered
to the Governor-General.
(5) While a person is acting as a non-executive Director, he has and may
exercise all the powers, and shall perform all the functions and duties, of a
non-executive Director under this Act.
(6) The validity of anything done by or in relation to a person purporting to
act under sub-section (1) shall not be called in question on the ground that
the occasion for his appointment had not arisen, that there was a defect or
irregularity in or in connection with his appointment or that the appointment
had ceased to have effect.
