Termination of appointment of non-executive Directors
18. (1) The Governor-General may terminate the appointment of a
non-executive Director for misbehaviour or physical or mental incapacity.
(2) If-
(a) a non-executive Director-
(i) becomes bankrupt, applies to take the benefit of any law for
the relief of bankrupt or insolvent debtors, compounds with his
creditors or makes an assignment of his remuneration for their
benefit; or
(ii) fails, without reasonable excuse, to comply with his
obligations under section 17;
(b) the Chairman, or a Director acting as Chairman, is absent, except with
the leave of the Minister, from 3 consecutive meetings of the Board;
or
(c) a non-executive Director (other than the Chairman or a Director acting
as Chairman) is absent, except with the leave of the Chairman or, if a
Director is acting as Chairman, with the leave of the Director so
acting, from 3 consecutive meetings of the Board, the Governor-General
shall terminate the appointment of the Director concerned.
