Disclosure of interests

17. (1) A Director who has a direct or indirect pecuniary interest in a matter
being considered or about to be considered by the Board shall, as soon as
possible after the relevant facts have come to his knowledge, disclose the
nature of his interest at a meeting of the Board.

(2) A disclosure under sub-section (1) shall be recorded in the minutes of the
meeting of the Board and the Director shall not-

   (a)  be present during any deliberation of the Board with respect to that
        matter; or

   (b)  take part in any decision of the Board with respect to that matter.

(3) A member of an Advisory Council, or of an advisory committee, who has a
direct or indirect pecuniary interest in a matter being considered or about to
be considered by the Advisory Council or by the committee shall, as soon as
possible after the relevant facts have come to his knowledge, disclose the
nature of his interest at a meeting of the Advisory Council or of the
committee.

(4) A disclosure under sub-section (3) shall be recorded in the minutes of the
meeting of the Advisory Council or of the committee and the member shall not-

   (a)  be present during any deliberation of the Advisory Council or of the
        committee with respect to that matter; or

   (b)  take part in any decision of the Advisory Council or of the committee
        with respect to that matter.

(5) References in sub-sections (1) and (2) to a Director shall, if a person is
acting as a Director, be construed as including a reference to the person so
acting.
