AUSTRALIAN AND OVERSEAS TELECOMMUNICATIONS CORPORATION ACT 1991 No. 79 of 1991 - SECT 9

Minister may give directions to AOTC
9. (1) Subject to subsection (2), the Minister may, after consultation with
the Board, give to AOTC such written directions in relation to the exercise of
the powers of AOTC as appear to the Minister to be necessary in the public
interest.

(2) Subject to subsection (3), the Minister must not give a direction under
subsection (1) in relation to the amounts to be charged for work done, or
services, goods or information supplied, by AOTC.

(3) Subsection (2) does not affect the Minister's powers under Part 6.

(4) Any directions given by the Minister under subsection (1) have effect
despite any direction given, or determination or order made, by AUSTEL under
the Telecommunications Act 1991.

(5) Where the Minister gives a direction under subsection (1), the Minister
must cause a copy of the direction to be laid before each House of the
Parliament within 15 sitting days of that House after giving the direction.

(6) The Minister is not taken to be a director of AOTC for the purposes of the
Corporations Law because of the powers in relation to AOTC that are conferred
on the Minister by this Act.

(7) It is the duty of the Board to ensure that AOTC complies with any
direction given to AOTC under subsection (1).

(8) The Minister must cause a copy of the memorandum of association and
articles of association of AOTC to be laid before each House of the Parliament
within 15 sitting days of that House after the later of:

   (a)  the commencement of this section; or

   (b)  the incorporation of AOTC.
