The Parliament of Australia enacts:

1 Short title
4
This Act may be cited as the Banking Amendment (Covered Bonds)
5
Act 2011.

2 Commencement

This Act commences on the day this Act receives the Royal
8
Assent.

24 Guide to this Division

This Division provides for the issue of covered bonds by ADIs.
24
An ADI issuing covered bonds must provide assets to secure the
25
covered bonds and related liabilities. These assets are held by a
26
covered bond special purpose vehicle. Some of the assets held by
27
the covered bond special purpose vehicle form the cover pool for
28
the covered bonds.

The ADI must not issue covered bonds if the combined value of
1
assets in cover pools securing covered bonds issued by the ADI
2
would exceed 8%, or such other percentage as is prescribed by the
3
regulations, of the value of the ADI's assets in Australia.
4
25 Application of Division
5
This Division does not apply in relation to:
6
(a) a foreign ADI; or
7
(b) a bond, note or other debenture, liabilities in relation to
8
which are secured wholly by assets that are not in Australia.

26 Covered bonds
10
(1)
Covered bonds are bonds, notes or other debentures issued by an
11
ADI, liabilities to the holders of which, or their representatives,
12
are:
13
(a) recoverable from the ADI; and
14
(b) secured by assets beneficially owned by a covered bond
15
special purpose vehicle.
16
Purposes of covered bond special purpose vehicle
17
(2) The purposes of the covered bond special purpose vehicle must
18
relate only to the covered bonds.
19
Cover pool
20
(3)
The
cover pool for the covered bonds consists of the assets
21
beneficially owned by the covered bond special purpose vehicle to
22
the extent that they secure the liabilities to the holders or
23
representatives equally or in priority to any other liabilities.
24
Note 1:
The value of the cover pool will usually exceed the value of the
25
liabilities to the holders or representatives.
26
Note 2:
Assets in cover pools may change from time to time.

Covered bond liabilities
28
(4) The liabilities to the holders or representatives, and any other
29
liabilities secured by assets beneficially owned by the covered
30

bond special purpose vehicle, are covered bond liabilities of the
1
ADI.

Note:
This means that liabilities incurred by the covered bond special
3
purpose vehicle can be covered bond liabilities of the ADI.
4
(5) However, a liability to the ADI, other than a liability in relation to
5
a derivative or the provision of services, secured in priority to any
6
liability to the holders or representatives is not a covered bond
7
liability of the ADI.
8
Issuing ADI
9
(6) The ADI is the issuing ADI for:
10
(a) the cover pool; and
11
(b) the covered bond special purpose vehicle.
12
27 Arrangements involving several ADIs
13
Aggregated issuing of covered bonds
14
(1) Two or more ADIs may enter into an arrangement with another
15
entity (the aggregating entity) under which the aggregating entity
16
issues bonds, notes or other debentures secured by covered bonds
17
issued by each of the ADIs to the aggregating entity.
18
Other arrangements
19
(2) The regulations may prescribe other arrangements that may be
20
entered into by 2 or more ADIs for the purposes of issuing or
21
dealing with covered bonds.
22
28 Restrictions on issuing covered bonds--8% rule
23
An ADI must not issue a covered bond if the combined value of
24
assets in cover pools securing covered bonds issued by the ADI
25
would exceed 8%, or such other percentage as is prescribed by the
26
regulations, of the value of the ADI's assets in Australia.
27
29 Restrictions on issuing covered bonds--APRA directions
28
(1) APRA may direct an ADI not to issue a covered bond.

(2) APRA may, by written notice given to the ADI, give the ADI such
1
a direction if:
2
(a) APRA has reason to believe that the ADI has contravened:
3
(i) this Division; or
4
(ii) another provision of this Act, a prudential requirement
5
regulation or a prudential standard relating to covered
6
bonds; or
7
(b) APRA has given the ADI a direction under section 11CA.
8
(3) A notice under subsection (2) is not a legislative instrument.
9
(4) The direction may deal with the time by which, or period during
10
which, it is to be complied with.
11
(5) The ADI has power to comply with the direction despite anything
12
in its constitution or any contract or arrangement to which it is a
13
party.
14
(6) APRA may, by notice in writing to the ADI, vary the direction if,
15
at the time of the variation, it considers that the variation is
16
necessary and appropriate.
17
(7) The direction has effect until APRA revokes it by notice in writing
18
to the ADI. APRA may revoke the direction if, at the time of
19
revocation, it considers that the direction is no longer necessary or
20
appropriate.
21
(8) Part VI applies to a decision to give a direction under
22
subsection (1).
23
(9) Information relating to directions and revocations of directions
24
under this section is subject to the secrecy requirements in Part 6 of
25
the Australian Prudential Regulation Authority Act 1998, unless
26
the information has been published in the Gazette under
27
section 11CE of this Act.
28
(10) This section does not limit any other powers of APRA to give
29
directions.
30
30 Cover pool monitors
31
(1) Each cover pool must have a cover pool monitor.
32
(2) The cover pool monitor must:

(a) be registered as an auditor under Part 9.2 of the Corporations
1
Act 2001; or
2
(b) hold an Australian financial services licence under that Act
3
that covers the provision of financial services as the cover
4
pool monitor; or
5
(c) be exempt under that Act from holding an Australian
6
financial services licence for the provision of financial
7
services as the cover pool monitor.
8
(3) However, the cover pool monitor must not be:
9
(a) the issuing ADI for the cover pool; or
10
(b) an associated entity (within the meaning of the Corporations
11
Act 2001) of the issuing ADI.
12
(4) The functions of the cover pool monitor are as follows:
13
(a) to assess the keeping, by the issuing ADI or covered bond
14
special purpose vehicle concerned, of an accurate register of
15
the assets in the cover pool;
16
(b) to assess compliance by the issuing ADI with sections 31 and
17
31A;
18
(c) to make reports relating to the matters in paragraphs (a) and
19
(b) available to the issuing ADI (or any substituted entity) for
20
distribution to the holders of covered bonds or their
21
representatives;
22
(d) to provide reports relating to the cover pool to APRA on
23
written request by APRA;
24
(e) such functions (if any) as are prescribed by the regulations.
25
(5) Copies of reports provided under paragraph (4)(d) must be
26
provided to the issuing ADI (or any substituted entity) and the
27
covered bond special purpose vehicle concerned.
28
(6) The functions covered by paragraphs (4)(a) to (c) must be
29
performed at least every 6 months.
30
(7) The functions covered by paragraphs (4)(a) and (b) may be
31
performed by sampling in accordance with auditing standards
32
made under the Corporations Act 2001.
33
31 Assets that may be in cover pools
34
(1) An asset in a cover pool must be one of the following:

(a) an at call deposit held with an ADI and convertible into cash
1
within 2 business days;
2
(b) a bank accepted bill or certificate of deposit that:
3
(i) matures within 100 days; and
4
(ii) is eligible for repurchase transactions with the Reserve
5
Bank; and
6
(iii) was not issued by the ADI that issued the covered bonds
7
secured by the assets in the cover pool;
8
(c) a bond, note, debenture or other instrument issued or
9
guaranteed by the Commonwealth, a State or a Territory;
10
(d) a loan secured by a mortgage, charge or other security
11
interest over residential property in Australia;
12
(e) a loan secured by a mortgage, charge or other security
13
interest over commercial property in Australia;
14
(f) a mortgage insurance policy or other asset related to a loan
15
covered by paragraph (e) or (f);
16
(g) a contractual right relating to the holding or management of
17
another asset in the cover pool;
18
(h) a derivative held for one or more of the following purposes:
19
(i) to protect the value of another asset in the cover pool;
20
(ii) to hedge risks in relation to another asset in the cover
21
pool;
22
(iii) to hedge risks in relation to liabilities secured by the
23
assets in the cover pool;
24
(i) an asset of a kind prescribed by the regulations for the
25
purposes of this paragraph.

(2) Paragraph (1)(i) is not limited by paragraphs (1)(a) to (h).
27
(3) Despite subsection (1), a cover pool must not contain an asset of a
28
kind prescribed by the regulations for the purposes of this
29
subsection.
30
31A Maintenance of cover pools
31
(1) The value of assets in a cover pool must be at least 103%, or such
32
other percentage as is prescribed by the regulations, of the face
33
value of the covered bonds secured by the assets.
34
Note:
An exception to this rule is set out in subsection (5).

(2) The value of assets covered by paragraph 31(1)(b) (bank accepted
1
bills or certificates of deposit) in a cover pool must not exceed 15%
2
of the face value of the covered bonds secured by the assets.
3
Note:
An exception to this rule is set out in subsection (6).

(3) For the purposes of subsection (1), if the sum of:
5
(a) the outstanding principal amount of a loan secured by a
6
residential property; and
7
(b) the outstanding principal amounts of any prior or equal
8
ranking loans secured by the property;
9
exceeds 80%, or such other percentage as is prescribed by the
10
regulations, of the value of the property (as determined by the most
11
recent valuation of the property), then the value of the loan is
12
reduced by the amount of the excess.
13
(4) For the purposes of subsection (1), if the sum of:
14
(a) the outstanding principal amount of a loan secured by a
15
commercial property; and
16
(b) the outstanding principal amounts of any prior or equal
17
ranking loans secured by the property;
18
exceeds 60%, or such other percentage as is prescribed by the
19
regulations, of the value of the property (as determined by the most
20
recent valuation of the property), then the value of the loan is
21
reduced by the amount of the excess.
22
Exceptions
23
(5) Subsection (1) does not apply to the extent that compliance would
24
be inconsistent with a direction given by APRA.
25
(6) Subsection (2) does not apply to the extent that compliance would
26
be inconsistent with the need to deal with an asset to satisfy a call
27
on security in relation to a covered bond.
28
31B Protection of certain contractual rights
29
Directions by APRA
30
(1) Subsection 11CD(1A) (direction not grounds for denial of
31
obligations) does not prevent the exercise of a contractual right in
32
relation to an asset that secures liabilities to holders of covered
33

bonds, or their representatives, if payments under the covered

bonds to the holders or representatives are not made.

ADI statutory manager in control
3
(2) Section 15C (ADI statutory manager being in control not grounds
4
for denial of obligations) does not prevent the exercise of a
5
contractual right in relation to an asset that secures liabilities to
6
holders of covered bonds, or their representatives, if payments
7
under the covered bonds to the holders or representatives are not
8
made.
9
31C Powers and obligations of ADI statutory manager or external
10
administrator
11
To the extent that an asset secures covered bond liabilities of an
12
ADI, an ADI statutory manager or an external administrator has:
13
(a) no powers in relation to the asset apart from the contractual
14
powers of the ADI; and
15
(b) the contractual obligations of the ADI in relation to the asset.
16
31D Prudential standards--treatment of assets and liabilities
17
(1) This section applies for the purposes of applying:
18
(a) prudential standards in relation to assets in cover pools
19
securing covered bonds issued by an ADI; and
20
(b) any other prudential standard in relation to the ADI.
21
(2) Treat those assets as assets of the ADI to the extent that the total
22
value of those assets at the time does not exceed 8%, or such other
23
percentage as is prescribed by regulations made for the purposes of
24
section 28, of the ADI's assets in Australia.
25
(3) Disregard any liability of the ADI to a covered bond special
26
purpose vehicle that relates to an asset, or a part of an asset, that is
27
to be treated as an asset of the ADI under subsection (2).
28
(4) Disregard any liability of a covered bond special purpose vehicle to
29
the ADI that relates to an asset, or a part of an asset, that is to be
30
treated as an asset of the ADI under subsection (2).

31E Prudential standards for covered bonds

(1) A prudential standard may provide for any matter relating to
2
covered bonds, including the following:
3
(a) the issuing of covered bonds;
4
(b) assets in cover pools;
5
(c) maintenance of cover pools.

Note:
Prudential standards are made under section 11AF.
7
(2) A prudential standard relating to covered bonds may:
8
(a) require that the following together satisfy particular
9
requirements in relation to prudential matters:
10
(i)
an
ADI;
11
(ii) one or more covered bond special purpose vehicles that
12
beneficially own assets securing covered bond liabilities
13
of the ADI; and
14
(b) impose, in relation to assets, or parts of assets, in cover pools
15
that are not treated as assets of an ADI under section 31D,
16
requirements that are different from requirements imposed in
17
relation to assets, or parts of assets, in cover pools that are
18
treated as assets of the ADI under that section; and
19
(c) impose, in relation to a liability of an ADI to a covered bond
20
special purpose vehicle that is not covered by subsection
21
31D(3), requirements that are different from requirements
22
imposed in relation to liabilities that are covered by that
23
subsection; and
24
(d) impose, in relation to a liability of a covered bond special
25
purpose vehicle to an ADI that is not covered by subsection
26
31D(4), requirements that are different from requirements
27
imposed in relation to liabilities that are covered by that
28
subsection.

(3) This section does not limit the prudential matters in relation to
30
which APRA may determine standards under section 11AF.
31
31F APRA may direct covered bond special purpose vehicles to
32
return certain assets
33
(1) APRA may, by written notice given to a covered bond special
34
purpose vehicle, direct the covered bond special purpose vehicle to
35
return to its issuing ADI an asset to the extent that, at the time the
36

direction is given, the asset does not secure covered bond liabilities

of the issuing ADI.

(2) Subsection (1) applies only if APRA may give the issuing ADI a
3
direction under section 11CA.

(3) A notice under subsection (1) is not a legislative instrument.

(4) The direction may deal with the time by which, or period during
6
which, it is to be complied with.

(5) The covered bond special purpose vehicle has power to comply
8
with the direction despite anything in its constitution or any
9
contract or arrangement to which it is a party.

(6) APRA may, by notice in writing to the covered bond special
11
purpose vehicle, vary the direction if, at the time of the variation, it
12
considers that the variation is necessary and appropriate.
13
(7) The direction has effect until APRA revokes it by notice in writing
14
to the covered bond special purpose vehicle. APRA may revoke
15
the direction if, at the time of revocation, it considers that the
16
direction is no longer necessary or appropriate.
17
(8) Part VI applies to a decision to give a direction under
18
subsection (1).
19
(9) Information relating to directions and revocations of directions
20
under this section is subject to the secrecy requirements in Part 6 of
21
the Australian Prudential Regulation Authority Act 1998, unless
22
the information has been published in the Gazette under
23
section 11CE of this Act.
24
(10) This section does not limit any other powers of APRA to give
25
directions.

(11) If a direction is given under subsection (1), this Act applies in
27
relation to the direction as if:
28
(a) the covered bond special purpose vehicle were an ADI; and
29
(b) the direction were given under section 29.
